Terms of Service

These Terms of Service ("Terms") govern your use of grandriverai.ca (the "Site") and any AI consulting, development, or automation services provided by Grand River AI ("we", "us", "our"). By using the Site or engaging our services, you agree to these Terms.

1. Services

Grand River AI provides AI consulting, custom software development, workflow automation, AI agent and chatbot development, LLM integration, and dashboard building services. Specific deliverables, timelines, and pricing for any engagement are defined in a separate written agreement (Statement of Work or proposal) agreed upon before work begins.

The free AI Opportunity Audit is provided at no cost and with no obligation. It includes a workflow scan, ranked opportunity list, and a recommendation. It does not constitute a binding proposal or guarantee of results.

2. Use of This Website

You may use this Site for informational purposes and to contact us about services. You agree not to:

  • Use the Site in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Site
  • Scrape, copy, or distribute Site content without permission
  • Submit false or misleading information through contact forms

All content on this Site, including text, code, design, and the AI Readiness Checklist PDF, is the intellectual property of Grand River AI unless otherwise stated. You may download and use the AI Readiness Checklist for your own business evaluation but may not redistribute it commercially.

3. Client Engagements

For paid engagements, the following terms apply unless modified by a signed agreement:

  • Scope: Each project is scoped in writing before work begins. Changes to scope are handled through a change request process.
  • Payment: Payment terms are specified in the project proposal. Typically, 50% is due at project start and 50% upon delivery.
  • Timeline: Estimated timelines are provided in proposals. While we strive to meet all deadlines, timelines may be affected by factors outside our control, including client-side delays in providing access, feedback, or data.
  • Client responsibilities: Clients agree to provide timely access to required systems, data, and personnel. Delays in client responsiveness may affect project timelines.

4. Intellectual Property

Upon full payment for a project, the client receives ownership of custom code, configurations, and deliverables created specifically for their engagement. Grand River AI retains ownership of:

  • Pre-existing tools, frameworks, and libraries used in the project
  • General methodologies, processes, and know-how developed prior to or independently of the engagement
  • The right to reference the engagement in portfolio descriptions, without disclosing confidential client data

5. Confidentiality

We treat all client information as confidential. We do not share client data, business processes, or proprietary information with third parties without explicit permission. Client project data is handled under the terms of the specific engagement agreement.

6. Limitation of Liability

To the maximum extent permitted by law, Grand River AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Site or services. Our total liability for any claim arising from a paid engagement shall not exceed the total amount paid by the client for that specific engagement.

AI systems are inherently probabilistic. While we design systems to be reliable, we cannot guarantee that AI outputs will always be accurate, complete, or free from error. Clients are responsible for reviewing AI-generated outputs before acting on them.

7. Third-Party Services

Our solutions often integrate with third-party services (e.g., OpenAI, Google, Calendly, HubSpot, Slack). We are not responsible for the availability, accuracy, or reliability of these third-party services. Clients are responsible for maintaining their own accounts and subscriptions for third-party tools.

8. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

9. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the Site or services after changes constitutes acceptance of the revised Terms.
